Due Diligence
Legal Due Diligence is defined as the process of investigation and collection of information carried out by the potential buyer or investor of a company, after initiating the first negotiations, to determine the real risks that the company has and to analyse the reality of its economic and financial situation.
The purpose of this process is to minimise the risk involved in a transaction by carrying out a detailed and independent analysis of the firm’s various business areas. In order to proceed with this, the express consent of the seller must be obtained and it must be carried out in the shortest possible time and trying not to interrupt the own activity of the company in question.
Legal Due Diligence is useful to be able to appreciate possible hidden liabilities in the business, review contingencies that may have occurred, identify synergies that may be developed and plan an appropriate strategy aimed at achieving the greatest possible economic benefit after the corporate acquisition, if any. In fact, if new or hidden aspects were found, it would be necessary to resume negotiations in order to limit the transaction to the new appreciated reality.
